Service offerings, features, and pricing are subject to change at our discretion. Specific services will be outlined in individual service agreements or proposals.

3. Client Obligations

As a client or user of our services, you agree to:

• Provide accurate and complete information
• Respond to requests for information or feedback in a timely manner
• Comply with all applicable laws and regulations
• Not use our services for illegal, fraudulent, or unethical purposes
• Respect intellectual property rights
• Pay all fees and charges as agreed in your service agreement

4. Payment Terms

Payment terms will be specified in individual service agreements. Generally:

• Fees are due upon receipt of invoice unless otherwise specified
• Late payments may be subject to interest charges or service suspension
• All fees are non-refundable unless otherwise stated in your agreement
• Price changes will be communicated with at least 30 days' notice

5. Intellectual Property

Our Intellectual Property

All content on our website, including text, graphics, logos, images, and software, is the property of Elevate Marketing Group and is protected by copyright and trademark laws. You may not reproduce, distribute, or create derivative works without our express written permission.

Work Product

Ownership of work product created under a service agreement will be specified in that agreement. Generally:

• Upon full payment, clients receive ownership of final deliverables
• We retain the right to use work samples in our portfolio
• Pre-existing materials and templates remain our property
• Third-party assets (stock photos, fonts, etc.) are licensed separately

6. SMS Terms & Conditions

Program Overview

Elevate Marketing Group offers an optional SMS text messaging program to send you marketing updates, promotional offers, and information about our services. Participation is entirely voluntary.

Consent to Receive Messages

By providing your mobile phone number and checking the SMS opt-in box on our contact form or other enrollment forms, you expressly consent to receive recurring marketing and promotional SMS/MMS messages from Elevate Marketing Group sent using an automated telephone dialing system (ATDS).

Message Frequency & Charges

• Frequency: Message frequency varies based on your activity and preferences. You may receive up to 4 messages per month.
• Charges: Message and data rates may apply based on your mobile carrier's plan. Check with your carrier for details.
• Carriers: This program is available on major carriers including AT&T, T-Mobile, Verizon, Sprint, and others. Message delivery depends on carrier network availability.

Opt-Out and Help

• To Opt Out: Reply STOP to any text message from Elevate Marketing Group. You will receive a confirmation message that you have been unsubscribed. You may continue to receive transactional messages related to active services.

SMS Privacy & Data Use

We respect your privacy. Your mobile phone number and related data will only be used to send you the messages you have opted in to receive. We will not sell, rent, or share your mobile number with third parties for their marketing purposes. For more information, see our Privacy Policy.

Changes to SMS Program

We reserve the right to modify or discontinue our SMS program at any time. We will notify active subscribers of any material changes to the program terms.

7. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of our business relationship. This obligation survives termination of services.

8. Disclaimers and Limitation of Liability

No Guarantees

While we strive for excellence, we cannot guarantee specific results from our marketing services. Marketing performance depends on many factors beyond our control, including market conditions, competition, and client execution.

Limitation of Liability

To the maximum extent permitted by law, Elevate Marketing Group shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or business opportunities, arising out of or related to our services. Our total liability shall not exceed the amount paid by you for services in the twelve months preceding the claim.

No Warranty

Our services are provided "as is" without warranties of any kind, express or implied, including but not limited to warranties of merchantability or fitness for a particular purpose.

9. Indemnification

You agree to indemnify and hold harmless Elevate Marketing Group, its officers, employees, and contractors from any claims, damages, losses, or expenses (including legal fees) arising from your use of our services or violation of these Terms.

10. Termination

Either party may terminate a service agreement according to the terms specified in that agreement. Generally:

• Clients must provide written notice as specified in their agreement
• We reserve the right to terminate services for non-payment or breach of terms
• Upon termination, clients must pay for all services rendered up to the termination date
• Some provisions of these Terms (e.g., confidentiality, intellectual property) survive termination

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. Any disputes will be resolved through binding arbitration in Melville, New York, except that either party may seek injunctive relief in court.

12. Changes to Terms

We reserve the right to modify these Terms & Conditions at any time. Material changes will be communicated to active clients. Continued use of our services after changes constitutes acceptance of the updated Terms.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy and any individual service agreements, constitute the entire agreement between you and Elevate Marketing Group regarding our services.
